TERMS & CONDITIONS – ESG Community & ESG Platform

Applicability: ESG Community and ESG Analysis Platform managed by ESG Knowledge Platform / FARM

By registering, creating an account, and/or in any way using the digital services and platforms of ESG Knowledge Platform and Farm Startup, Alfred SPFARM (FARM Solutions) (hereinafter: “Provider”), the user irrevocably and unconditionally agrees to these Terms & Conditions.

Article 1 – Definitions

1.1 “Platform”: the entirety of the online ESG Community and ESG Knowledge Platform, ESG Tools environment, and ESG Advice Hub, including underlying systems, interfaces, data architectures, and digital infrastructure.

1.2 “User”: any natural or legal person who gains access to (a part of) the Platform.

1.3 “Intellectual Property Rights”: all copyrights, database rights, trademarks, patents, trade name rights, and other intellectual or industrial property rights.

1.4 “Illegal Content”: data or material that violates the law, public order, or good morals, including but not limited to hate speech, threats, pornography, discriminatory statements, and/or infringing files.

Article 2 – Access, Registration & Use

2.1 Access to the Platform is granted solely on a personal basis via a unique, password-protected account unless otherwise specified.

2.2 Each account is strictly personal; login credentials may not be shared, transferred, or made available to third parties unless otherwise specified.

2.3 The Provider reserves the right to temporarily or permanently block or deny access without prior notice in case of (suspected) misuse, irregularities, or violations of these terms.

2.4 All actions on the Platform are logged for auditing purposes and may serve as evidence in case of violations.

Article 3 – Intellectual Property Rights

3.1 All Intellectual Property Rights related to the Platform, including but not limited to generated analyses, tools, algorithms, databases, user interfaces, and texts, are exclusively owned by the Provider.

3.2 Without prior written consent, it is strictly prohibited to:

Copy, edit, publish, or redistribute content or functionality of the Platform;
Use outputs or insights from the Platform for model training or AI applications;
Integrate parts of the Platform into other systems, applications, or services.

3.3 Any infringement of Intellectual Property Rights may result in immediate legal action, including:

Court proceedings;
Liability for lost revenue and reputational damage;
A minimum compensation of €25,000 per infringement, plus actual damages.

Article 4 – Prohibited Conduct and Content

4.1 Users must refrain from:

Uploading or entering false, fabricated, or misleading information;
Distributing spam, phishing, or other unwanted promotional communication;
Posting Illegal Content, malware, viruses, scripts, or other harmful code;
Using AI bots, scraping, data harvesting, or any automated access;
Training AI models based on Platform data;
Attempting reverse engineering, security bypass, or exploiting system vulnerabilities.

4.2 Any violation of Article 4 results in:

Immediate and permanent exclusion from access;
Reporting to relevant supervisory authorities and/or police;
Liability for all direct and indirect damages, including legal costs.

Article 5 – Data Processing and Privacy

5.1 The Provider only processes anonymized usage data, in accordance with GDPR (EU 2016/679), for internal research, reporting, and quality improvement.

5.2 Personal data is not commercially used or shared with third parties. Processing is in accordance with the privacy policy, available via the Platform.

Article 6 – Liability and Indemnification

6.1 Use of the Platform is entirely at the User’s own risk. The Provider makes no guarantees regarding availability, accuracy, or suitability for a specific purpose.

6.2 The Provider is not liable, unless explicitly stated, for:

Loss of data or access;
Damage to equipment or software;
Actions based on Platform outputs;
Indirect or consequential damages, including loss of profit or reputational harm.

6.3 In case of violation of these terms, the User is liable for:

Technical remediation costs;
Legal costs, including attorney and litigation fees;
Compensation for all direct and indirect damages.

Article 7 – Payment and No Refunds

7.1 If (parts of) the Platform are only available after payment:

All payments are final and non-refundable;
No refunds are granted in case of violations of these terms or account termination.

Article 8 – Governing Law and Competent Court

8.1 These Terms & Conditions are governed exclusively by Dutch law.

8.2 All disputes arising from or relating to these terms will be submitted exclusively to the competent court in Amsterdam.

Article 9 – Amendments

9.1 The Provider reserves the right to unilaterally amend these terms. Users will be notified of substantial changes via email.
